PURCHASE AGREEMENT  (example)

THIS AGREEMENT is made between __________________, residing at _______________ (“Buyer”) and Julie Goodnight , residing at Salida , Colorado (“Seller”) for the purchase described below:

Color: Sorrel

Breed: American Quarter Horse

Sex: Stallion

1. PURCHASE PRICE

For the total sum of $ _________ , Seller agrees to sell and Buyer agrees to buy said horse based on the terms to follow.

2. PAYMENT TERMS

Horse must be paid in full prior to leaving the premises .

3. WARRANTIES

• Seller covenants that he is the lawful owner of said horse; that he has the right to sell said horse; and that he will warrant and defend the horse against lawful claims and demands of all persons.
• Seller makes no other promises, express or implied, including the warranties of fitness for a particular purpose unless further provided in this Agreement.
• Seller warrants the following: this horse is registered with the American Quarter Horse Association, Registration # XXXXXXXXXX.
• Buyer waives any claim for damage should said horse fail to meet the above warranties at the time of delivery, unless such defect is discovered within 30 days from execution of this Agreement.

4. TRANSFER OF OWNERSHIP

Seller agrees to provide a Certificate of Registration and a completed transfer of ownership form to the Buyer at the time of execution of this Agreement. Seller agrees to provide a valid Brand Inspection, issued by the Colorado Department of Agriculture on XXXXXXXXXXX at time of execution of this Agreement.

• RISK OF LOSS

Buyer assumes all risk of loss upon receipt of the horse. Death, illness, or debilitating injury to the horse on or before XXXXXXXX does not nullify or alter the terms of payment of this Agreement.

• GOVERNING LAW

The terms of this Agreement shall be governed by the laws of the State of Colorado. Any legal action must be brought in Chaffee County , Colorado.

• BREACH

Either party may nullify this Agreement if the other party breaches a material term if this Agreement. The wronged party may recover reasonable attorney’s fees and court costs.

• ENTIRE AGREEMENT

This constitutes the entire Agreement between the parties. Any modifications or additions MUST be in writing and signed by all parties to this Agreement. No oral modifications or additions will be considered to be part of this Agreement unless reduced to writing and signed by all parties.
